The said Arbitration shall be conducted in terms of theArbitration and Conciliation Act 1996 together with all statutory amendments made thereto. The Award made in pursuance there of shall be final and binding on all the parties the seat and venue of arbitration shall be subject to jurisdiction of the appropriates course of Kota (Raj.).
13. The service buyer here by indemnifies and agrees to keep Prestige India Technologies indemnified from any / all action, claims, cost incurred due to any litigation or any illegal activity or misuse of their website contents arising out of the service ordered by the said service buyer herein.
14. Bulk Sms & Email Validity will be only one year or Less than one year & if buyer buy any services like Bulk Sms, Email & Website etc... then for any case we will not refund any amount once deal will finalize, in Negative case just we can convert the amount to our other services.
15. Any special offer or price extended under a period contract is on the assumption that the contract will be fulfilled Failing Fulfillment, the service buyer will be debited the price prevailing on the date for the full service period as per order not with standing any suspension of the service by during Prestige India Technologies the contract period for not observing its credit terms or any other condition and accordingly.
16. Prestige India Technologies reserves the right to ask for pre-payment and / or seek collateral security from any service buyer and /or to set limits.
17. Prestige India Technologies shall at all times be entitled to add to the charges, calculated according to the rates and payable by the service buyer, and amount equivalents to any tax which Prestige India Technologies may be called upon to pay in respect of any service hosted in pursuance of the service buyer.
18. Prestige India Technologies is not bound by any terms or conditions imposed by service buyer, which are conflict with those stated herein or on the rate card.
19. Prestige India Technologies reserves the right to reject all Order Forms which have not been properly and correctly filled in or where the amount tendered by the service buyer is not as per the prescribed rates.
20. Incase of justified and accepted complaints, Prestige India Technologies liability is restricted to maximum of the amount paid against the order. Prestige India Technologies bears no liability for any consequential loss of business or other loss.
21. The conditions stated herein and any other condition stipulated by Prestige India Technologies from time to shall govern the acceptance and the provision of any service.
22. The service buyer hereby agrees and covenants to honour payment of all cheques issued against the order form as well as all amount standing due, payable and rising out of the service / transaction mentioned herein. The Service buyer here by agrees not to dispute the right / unconditional standing instruction conferred here by them to Prestige India Technologies to deposit / redeposit cheques at Prestige India Technologies sole discretion at many times as by be required to recover the lawfully due amount standing Instruction conferred here by them to Prestige India Technologies to deposit / redeposit cheques at sole discretion at many times as may be required to recover the lawfully due amount stading against the amount of said service buyer.
23. For Bulk Sms Services - In future if any new information, rules and update comes from TRAI & Operator then we will not responsible, customer has consider as per TRAI & Operator rules.
24. If in future any Technical issue will come in Bulk Sms / Whats App / Email & Website Designs & Development then client has to considertill when the problems will not resolve.
25. Not with standing anything mentioned herein above any I all delays in payment of the due amounts as per the agreed payment option plan shall attract interest of 24% p.a; which the Service buyer agrees to pay without raising any dispute.
26. The person signing the cheque agrees and accept the full responsibility for honoring the cheque issued against this order from his agent and agrees to be held liable for all criminal and civil liability arising out of dishonour of cheque.
27. If anyone ( Company Employee's or Re seller's or Chanel Partner's ) give Any Kind of Wrong information to user's on ( verbally Basis ) then Only that Particular Person wiil be responsible , Company is not liable for these thing's : Company will take Responsibility for response only on writing proof --- Either Mail or Writing On Letter head
28. Dishonor of any cheque or nonpayment within reasonable period shall result in automatic stop of the service at the sole discretion of Prestige India Technologies in addition and without prejudice the service buyer shall be liable to pat Rs. 500/- on every dishonor of cheque as well as the entire order from value, towards recovery of which Prestige India Technologies reserves its right under the Negotiable instruments Act, 1881 as well as other applicable laws of India.
29. The company is Not taking any Kind of Guarantee or Response for any kind of Calls, Leads or Result's on Databases - This Is Just Awareness or Information Marketing Tools.
30. Not Allowed to Sending Harassing or abusive messages , Any unsolicited messages & illegal Sms Like as - Spa, Share Mkt., Prostitute Sms ,Friends Club's, Gambling Sms, Cricket Betting & To Spread Bulk Sms to other person Goodwill Down etc....: These all are strict...Otherwise Prestige India Technologies ( Company ) will not be liable in any loss, damage, injury, death or claims
31. In future if any bulk sms prices changes from telecom operator end. Then client has to pay either extra charges on exciting bal. Or our company will deduct bulk sms units whatever extra amount difference will be that time, client has to consider it, there is no need to argument.
32. Databases is a complimentary Thing's ( We are Not charging For Databases ) So, Client does not have any right to argument on Databases
